A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF PROSPER,
TEXAS, HEREBY AUTHORIZING THE MAYOR OF THE TOWN OF
PROSPER, TEXAS, TO EXECUTE AN INTERLOCAL AGREEMENT
BETWEEN THE TOWN OF PROSPER, TEXAS AND THE ECONOMIC
DEVELOPMENT CORPORATION FOR PERSONNEL SERVICES.
NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL OF THE TOWN
OF PROSPER, TEXAS:
SECTION 1: The Mayor of the Town of Prosper, Texas, is hereby authorized to execute,
on behalf of the Town Council of the Town of Prosper, Texas, the Interlocal Agreement between
the Town of Prosper, Texas, and the Economic Development Corporation for Personnel Services,
a copy of which is attached hereto as Exhibit "A" and incorporated herein for all purposes.
SECTION 2: This Resolution shall take effect immediately upon its passage.

INTERLOCAL AGREEMENT BY AND BETWEEN THE TOWN OF PROSPER,
TEXAS AND THE PROSPER ECONOMIC DEVELOPMENT COROPRATION
(Personnel Services)
THIS AGREEMENT (the"Agreement"), made and entered into this 2-L day of
, 2003,by and between the TOWN OF PROSPER, TEXAS, a municipal
corporation (the"Town"), and the PROSPER ECONOMIC DEVELOPMENT
CORPORATION, a political subdivision organized under the Development Corporation Act of
1979 through the auspices of the Town of Prosper, Texas ("PEDC").
WHEREAS, the Town has investigated and determined that it would be advantageous
and beneficial to the Town and its citizens to employ a Director of Planning for the purpose of,
among other things, establishing and implementing policies and procedures needed to administer
the daily operations of a planning department and implementing procedures related to growth
management; and
WHEREAS, the PEDC has investigated and determined that it would be beneficial to the
Town and its citizens to employ an Executive Director for the purpose of, among other things,
planning, organizing, implementing and managing the marketing activities for the PEDC; and
WHEREAS, the Town and the PEDC desire to utilize the same individual in carrying out
the duties of the Director of Planning and the PEDC Executive Director as the Town and the
PEDC have investigated and determined that the same individual is capable of performing the
duties of each position; and
WHEREAS, the Town desires to employ the Director of Planning and further desires to
subcontract the services of this individual to the PEDC for the purpose of fulfilling the duties of
the PEDC Executive Director; and
WHEREAS, the Town and the PEDC desire to enter into this Agreement for the purpose
of establishing the administration and compensation, including benefits, of the individual to be
hired as the Director of Planning/PEDC Executive Director; and
WHEREAS, the Interlocal Cooperation Act, Chapter 791 of the Texas Government Code
(the"Act"),provides the authority to political subdivisions for contracts by and between each
other to facilitate the governmental functions and services of said political subdivisions under the
terms of the Act.
NOW, THEREFORE, in consideration of the covenants and conditions contained in this
Agreement, the Town and the PEDC agree as follows:
1. Employment of the Director of Planning/PEDC Executive Director. The Town,
in its sole discretion, will employ the Director of Planning as a full time employee of the Town.

The Town will subcontract the services of the individual hired as the Director of Planning to the
PEDC for the purpose of fulfilling the duties of the PEDC Executive Director.
2. Description of Duties of the Director of Planning. The Town will employ the
Director of Planning to perform the functions and duties specified in the job description attached
hereto as Exhibit"A", and incorporated herein for all purposes, and to perform such other lawful
duties and functions as the Town Mayor shall from time-to-time assign or cause to be assigned.
The Director of Planning shall allocate seventy percent (70%) of his/her time to the duties of the
Director of Planning.
3. Description of Duties of the Position of the PEDC Executive Director. The Town
will subcontract the services of the individual hired as the Director of Planning to the PEDC to
perform the functions and duties specified in the job description attached hereto as Exhibit "B",
and incorporated herein for all purposes, and to perform such other lawful duties and functions as
the Board of the PEDC shall from time-to-time assign. The Director of Planning shall allocate
thirty percent (30%) of his/her time to the duties of PEDC Executive Director.
4. Compensation/Reimbursement Structure of the Director of Planning/PEDC
Executive Director.
a. Salary. The Town agrees to pay the Director of Planning for his/her
services rendered pursuant hereto an annual base salary of Seventy
Thousand and No/100 Dollars ($70,000.00), including applicable taxes
and withholding, payable in installments at the same time as other
employees of the Town are paid ("Salary"). Adjustments to the Director
of Planning's Salary will be in accordance with the method and timing of
adjustments provided other Town employees.
b. Benefits/Retirement. As an employee of the Town, the Director of
Planning shall receive sick leave, vacation, life and health insurance
coverage and other personal and fringe benefits provided by the Town for
its administrative employees in accordance with the applicable law and
Town policies. Vacation days taken by the Director of Planning will be
taken at such time(s) as will least interfere with the performance of the
Director of Planning/PEDC Executive Director's duties as set forth in this
Agreement ("Benefits"). Prior written approval for vacation days must be
obtained by the Town Administrator. The Town further agrees to provide
the Director of Planning, to the full extent of his/her eligibility for same,
retirement benefits under the Texas Municipal Retirement System, same
being the Town retirement system presently in force ("Retirement").
c. Reimbursement. On or before the 15th day of each month,beginning
April 1, 2003, the PEDC will reimburse the Town thirty percent(30%) of
the Salary, as it currently exist or may be amended, as consideration for

the services performed by the individual subcontracted to the PEDC in
his/her capacity as the PEDC Executive Director. In the event of
separation of the individual from the Town,by resignation, termination or
otherwise as provided in¶¶6 and 10 below, the PEDC will further
reimburse the Town thirty percent (30%) of any severance paid the
Director of Planning by the Town within thirty(30) days of the date of
separation.
5. Hours of Work. The parties agree that the Director of Planning/PEDC Executive
Director will be an exempt employee under the Fair Labor Standards Act who is expected to
engage in those hours of work which are necessary to fulfill the obligations of the positions of
Director of Planning and PEDC Executive Director, and, therefore, does not have set hours of
work and is available at all times. The Director of Planning/PEDC Executive Director will be
required to acknowledge that the proper performance of duties as Director of Planning/PEDC
Executive Director will often require the performance of necessary services at other times and
for more extended periods. The parties agree that the Salary outlined herein constitutes full
compensation to the Director of Planning/PEDC Executive Director for all services provided
under this Agreement, including without limitation, any additional hours or extended periods of
service outlined herein. The Director of Planning/PEDC Executive Director will be required to
acknowledge he/she is not entitled to any additional compensation for extended hours or periods
of service provided under this Agreement. The Director of Planning/PEDC Executive Director
will be required to agree to devote such additional time as is necessary for the full and proper
performance of duties and that the compensation herein provided for includes compensation for
the performance of all such services; however, it is the desire of the Town that reasonable
compensatory time off be permitted the Director of Planning/PEDC Executive Director, such as
is customary for all other exempt employees, so long as such compensatory time off does not
interfere with the normal conduct of the Director of Planning/PEDC Executive Director.
The Director of Planning/PEDC Executive Director will be responsible for allocating
his/her time appropriately between the positions of Director of Planning and PEDC Executive
Director so as to ensure that he/she is allocating seventy percent(70%) of his/her time as the
Director of Planning and thirty percent(30%) of his/her time as the PEDC Executive Director.
The Director of Planning/PEDC Executive Director will be required to maintain a written log
evidencing his/her actual time spent performing the duties of the Director of Planning and the
PEDC Executive Director. The Director of Planning/PEDC Executive Director shall submit the
log to the Town Administrator on the last day of each month for review. Upon a review of the
log, the Town may, in its sole discretion, require the Director of Planning/PEDC Executive
Director to adjust and/or reallocate is/her time to ensure compliance with this Agreement.
6. Supervision of the Director of Planning/PEDC Executive Director. The Director
of Planning will be employed solely by the Town and will report directly to the Town
Administrator. The PEDC Executive Director will also report directly to the Town
Administrator. The Town will be solely responsible for any disciplinary action taken against the
Director of Planning/PEDC Executive Director, including without limitation, termination. In the

event the PEDC experiences any problems, difficulties and/or issues with the PEDC Executive
Director, the PEDC Board President will notify the Town Administrator. Once the Town
Administrator receives notice from the PEDC Board President under this paragraph, the Town
Administrator will consult with the Town Mayor, who will be responsible for taking any action,
and/or causing any action to be taken, against the PEDC Executive Director as deemed necessary
by the Town Mayor in his/her sole discretion. Any action taken, and or caused to be taken,by
the Town Mayor will be in accordance with applicable law, the polices of the Town and/or any
contract between the Director of Planning and the Town and will be final.
7. Independent Contractor. The Director of Planning is and at all times shall also be
deemed to be an employee of the Town and a subcontractor to the PEDC, and the Town shall be
wholly responsible for the manner in which the Director of Planning performs the services
required by the terms of this Agreement. Nothing herein shall be construed as creating the
relationship of employer and employee, or principal and agent,between the Director of Planning
or the Town, and the PEDC or any of the PEDC's agents or employees. The Town assumes
exclusive responsibility for the acts of the Director of Planning as they relate to the services
provided during the course and scope of his employment under this Agreement. The Director of
Planning shall not be entitled to any rights or privileges of PEDC employees and shall not be
considered in any manner to be a PEDC employee. Neither the Town nor the PEDC shall be
responsible under the Doctrine of Respondeat Superior for the acts and omissions of its officers,
members, agents, servants, employees, or officers of the other.
8. Availability of Funds. It is expressly understood and agreed by and between the
parties hereto that this Agreement is wholly conditioned upon the actual receipt by the Town of
funds from the PEDC and that if such funds from the PEDC are not timely forthcoming, in whole
or in part, the Town may, at its sole discretion, terminate this Agreement immediately.
Further, funds are not presently budgeted for the Town's performance under this
Agreement beyond the end of the 2003 fiscal year. The Town shall have no liability for payment
of any money for services performed after the end of any fiscal year unless and until such funds
are budgeted in accordance with applicable law.
9. Applicable Policies. The Director of Planning/PEDC Executive Director will be
required to comply with, among other Town requirements, the personnel policies of the Town.
10. Term/Termination. The term of this Agreement shall commence on the date set
forth above and shall continue in effect for so long as the PEDC subcontracts the services of the
Director of Planning for the purpose of performing the duties of the PEDC Executive Director.
Either party may terminate this Agreement, with or without cause, upon ninety(90) days written
notice to the other party. Should the PEDC desire to terminate this Agreement prior to
September 30, 2003, the PEDC will be required to, in addition to providing the notice stated
herein, reimburse the Town thirty percent (30%) of the Director of Planning's Salary, then in
effect, for the full amount due through September 30, 2003 (the"Termination Reimbursement").

The Termination Reimbursement shall be paid by the PEDC to the Town in one (1) lump sum
payment on the day the Agreement terminates.
11. Notice. Any notice required or permitted to be delivered hereunder shall be
deemed to be delivered, whether or not actually received, when deposited in the United States
Mail, postage pre-paid, certified mail, return receipt requested, addressed to either party, as the
case may be, at the addresses contained below:

12. Miscellaneous.
a. Assignment. This Agreement is not assignable without the prior written
consent of the Town.
b. Entire Agreement. This Agreement contains the entire agreement of the
parties with respect to the matters contained herein and may not be modified or terminated
except upon the provisions hereof or by the mutual written agreement of the parties hereto.
c. Venue. This Agreement shall be construed in accordance with the laws of
the State of Texas and shall be performable in Collin County, Texas.
d. Consideration. This Agreement is executed by the parties hereto without
coercion or duress and for substantial consideration, the sufficiency of which is forever
confessed.
e. Counterparts. This Agreement may be executed in a number of identical
counterparts, each of which shall be deemed an original for all purposes.
f. Authority to Execute. The individuals executing this Agreement on behalf
of the respective parties below represent to each other and to others that all appropriate and
necessary action has been taken to authorize the individual who is executing this Agreement to
do so for and on behalf of the party for which his or her signature appears, that there are no other
parties or entities required to execute this Agreement in order for the same to be an authorized
and binding agreement on the party for whom the individual is signing this Agreement and that

each individual affixing his or her signature hereto is authorized to do so, and such authorization
is valid and effective on the date hereof.
g. Savings/Severability. In case any one or more of the provisions contained
in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any
respect, such invalidity, illegality or unenforceability shall not affect any other provision thereof,
and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had
never been contained herein.
h. Representations. Each signatory represents this Agreement has been read
by the party for which this Agreement is executed and that such party has had an opportunity to
confer with its counsel.
i. Miscellaneous Drafting Provisions. This Agreement shall be deemed
drafted equally by all parties hereto. The language of all parts of this Agreement shall be
construed as a whole according to its fair meaning, and any presumption or principle that the
language herein is to be construed against any party shall not apply. Headings in this Agreement
are for the convenience of the parties and are not intended to be used in construing this
document.
j. Pursuit of a Governmental Function. Both the Town and the PEDC have
determined by their execution of this Agreement that this Agreement and the obligations of the
parties contained herein are in discharge of a governmental function as set forth in the Interlocal
Cooperation, Chapter 791, Texas Government Code, and the participation by either party in the
terms of this Agreement shall not make such party an agent or representative of the other party.
k. Sovereign Immunity. The parties agree that neither the Town nor the
PEDC has waived its sovereign immunity by entering into and performing their respective
obligations under this Agreement.
1. Binding Agreement. This Agreement shall be binding upon and shall
inure to the benefit of the parties hereto and their respective successors and assigns. No third
party shall have any rights herein.
IN WITNESS WHEREOF, the parties have executed this Agreement and caused this
Agreement to be effective on the latest date as reflected by the signatures below.

JOB SUMMARY: Responsibilities include but are not limited to the establishment and implementation of the policies
and procedures needed to run the daily operations of a planning department, the implementation of directives of the
Town Council, Town Administration, Planning and Zoning Committee, and the implementation of procedures related
to growth management.
ESSENTIAL JOB FUNCTIONS:
• Correlate amongst and serve as an advisor to the Town Administrator, Town Council, and Planning and
Zoning Committee.
• Identify technical issues or potential problems and present alternative solutions.
• Prepare agendas and informational packets for Planning and Zoning and Town Council meetings; attend
meetings.
• Develop, recommend, and oversee amendments to the Town's Master Plan, Comprehensive Zoning
Ordinance and Subdivision Ordinance.
• Coordinate with Town Engineer on infrastructure projects.
• Prepare proposed Ordinances and policies for submittal to the Town Administrator, Town Council and

JOB SUMMARY: This position is responsible for the planning, organization, implementation and management of the
marketing activities for the Prosper Economic Development Corporation. The Director shall interact with and provide
administrative support for the Board Members, while managing the recruitment of retail development within Prosper.
ESSENTIAL JOB FUNCTIONS:
• Manage/oversee the Town's Economic Development effort; recruit new development and businesses to Prosper.
• Develop and recommend policy, procedure, and other functions required to effectively operate the EDC.
• Develop strategic long-range planning tools for Economic Development;establish goals and objectives for planning
and provide updates and reports relating to such.
• Coordinate with EDC Board members and Secretary to prepare agendas for meetings
• Develop demographic information for use in analyzing availability of office and retail space in the community; prepare
and maintain statistical reports relating to such;conduct business studies and surveys and maintain database for
information.
• Assist EDC Board in annual budget preparation process for recommendation to the Town Council.
• Design and distribute advertisements, brochures, newsletters and other marketing tools for Prosper's Economic
Development and growth.
• Develop and implement programs and activities to promote economic development in Prosper.
• Meet with various potential developers regarding business development, and conduct follow-ups.
• Serve as liaison between EDC, Town Administrator,Town Council and representatives from the Prosper ISD.
