07-008 - R TOWN OF PROSPER,TEXAS RESOLUTION NO. 07-008 A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF PROSPER, TEXAS, HEREBY AUTHORIZING THE MAYOR OF THE TOWN OF PROSPER, TEXAS, TO EXECUTE AN AMENDMENT TO THE CONTRACT BETWEEN THE TOWN OF PROSPER, TEXAS AND SOUTHWEST GENERAL SERVICES OF DALLAS, L.L.C. FOR AMBULANCE BILLING AND COLLECTION SERVICES. NOW, THEREFORE,BE IT RESOLVED BY THE TOWN COUNCIL OF THE TOWN OF PROSPER, TEXAS: SECTION 1: The Mayor of the Town of Prosper, Texas, is hereby authorized to execute, on behalf of the Town Council of the Town of Prosper, Texas, an amendment to the contract between the Town of Prosper, Texas and Southwest General Services of Dallas, L.L.C. for ambulance billing and collection services, attached hereto. SECTION 2: This Resolution shall take effect immediately upon its passage. FOR AMBULANCE BILLING AND COLLECTION SERVICES THIS CONTRACT AMENDMENT is made and entered by and between SOUTHWEST GENERAL SERVICES OF DALLAS, L.L.C., hereinafter referred to as "Contractor," and TOWN OF PROSPER, TEXAS, hereinafter referred to as "Town," to be effective upon approval of the Town Council of the Town of Prosper and subsequent execution by the Town Manager or his/her designee. AMENDING SECTION I, SCOPE OF WORK In addition to the services, supervision, labor, materials and equipment necessary to provide "Ambulance Billing and Collection Services", the Contractor will provide the Town electronic patient care reporting (EPCR) via the Contractor's RecueMedic® system, hereinafter referred to as RM, to include the following: > Six (6) mobile RM software licenses > Three (3) concurrent administrative RM software licenses > One (1) RM server license > Initial RM system training for all pertinent staff during implementation > Implementation of the RM system > Standard automatic upgrades > Support and maintenance of the RM system throughout the term of the contract > Implementation start date will be February 1, 2007 AMENDING SECTION II, TERM OF CONTRACT The term of the contract will be for five (5) years beginning February 1st, 2007 and ending January 31st, 2012. AMENDING SECTION III, WARRANTY The RM system will be warranted by Contractor to cover all malfunctions and defects. CONTRAC AMENDMENT-SOUTHWEST GENERAL SERVICES OF DALLAS, L.L.C. 1 AMENDING SECTION IV, PAYMENT The original payment term of the contract (7% of net collections) will not be amended. * ALL OTHER SECTIONS OF THE ORIGINAL CONTRACT WILL REMAIN THE SAME. This Contract Amendment shall be effective upon approval of the Town Council of the Town of Prosper and upon the signature by the parties hereto.
