Wednesday October 9, 2019 — 6:00 P.M.
Call to Order and Announce a Ouorum is Present
Board President Jim Wicker called the meeting to order at 6:00 P.M. Board members present: Vice President
David Bristol, Mayor Ray Smith, Treasurer Roger Thedford, Secretary Jordan Simms and Board members
Reno Jones, Don Perry. Executive Director Mary Ann Moon and PEDC Assistant Susanne Barney were present.
VP of Marketing and Communications Darcy Schroer was not in attendance. Brett Butler was also present.
1. Comments from Citizens
Brett Butler is an interested citizen who is happy to be here and wants to get involved.
2. Welcome Mary Ann Moon to PEDC.
The board welcomed Mary Ann Moon to the EDC as Executive Director.
3. Election of Officers to the Board of the PEDC.
Ray Smith moved to elect PEDC Officers as follows: Jim Wicker for President
David Bristol for Vice President
Jordan Simms for Secretary
Roger Thedford for Treasurer
The motion was seconded by Don Perry and the election of above mentioned officers was approved 7-0 by all
board members present. See attached.
4. Approval of Minutes from the September 18, 2019 PEDC Board Meeting.
Ray Smith moved to approve the minutes as presented. The motion was seconded by David Bristol and approved
7-0 by all board members present.
5. Approval of PEDC Financial Report for the month of September 2019, and Take any Additional Action
Necessary.
Roger Thedford reviewed the financial report with the board and staff. Reno Jones moved to approve the PEDC
Financial Report for the month of September 2019. The motion was seconded by Jordan Simms and approved
7-0 by all board members present.
6. Consider and Act upon approving an annual membership level to the Prosper Chamber of Commerce for
FY 2019-20.
David Bristol made a motion to postpone item #6 until the November board meeting. The motion was seconded
by Roger Thedford and approved 7-0 by all board members present.
7. Business Retention and Expansion Meetings Update.
Susanne Barney updated the Board and staff on BRE meetings in October.
8. CEO's Report: Administrative and Marketing Activities of the PEDC and Upcoming Events.
Mary Ann Moon updated the board and staff regarding subscriptions, calendar of key dates, Vision Prosper updates
and the survey activity regarding Vision Prosper along with the future steps of the program. She also discussed
utilizing the Town supplied emails for correspondence.
9. Confirm or Change the Next PEDC Board Meeting scheduled for Wednesday, November 20, 2019.
The next PEDC Board Meeting is confirmed as Wednesday, November 20, 2019 at 6:00 P.M.

Board President Jim Wicker recessed the regular meeting at 6:18 P.M.
10. Convene into Closed Executive Session Pursuant to Texas Government Code:
o Section 551.087; Deliberation of Economic Development Negotiations to Deliberate Commercial
and Financial Information and Economic Incentives relating to the following:
o Retail Development
o Office & Corporate Development
o Section 551.072; To deliberate the purchase, exchange, lease or value of real property located:
o North of 380, west of Preston Rd., east of FM 1385, south of Frontier Parkway.
Board President Jim Wicker called the meeting into Closed Executive Session at 6:18 P.M.
The PEDC Board met in Executive Session from 6:18 P.M. to 7:07 P.M.
11. Reconvene into Open Session and Take Any Action Necessary as a Result of Closed Session Deliberations.
Board President Jim Wicker reconvened the meeting into Open Session at 7:07 P.M.
There was no action taken in regard to the Executive Session.
12. Adjourn
Ray Smith moved to adjourn. The motion was seconded by David Bristol.
The PEDC Board meeting adjourned at 7:08 P.M.

Per the By -Laws of the Prosper Economic Development Corporation (PEDC),
officers are to be elected each year and are to serve a one-year term, or until the
Board chooses to hold a subsequent election.
