To: Mayor and Town Council From: Mike Land, Town Manager ADMINISTRATION Agenda Item No. 6c Re: Town Council Meeting — Tuesday April 27, 2010 Date: April 23, 2009 Agenda Item: Consideration and act upon on a Resolution authorizing the Town Manager to enter into a Chapter 380 Economic Development Agreement with the Prosper Economic Development Corporation for the reconstruction of a portion of Broadway St. Description of Aaenda Item: On January 26th, 2010 the Town of Prosper entered into an Interlocal Agreement with the Prosper Economic Development Corporation for the reconstruction of Broadway St. for a section just west of the 380 Warehouse to McKinley St. This agreement was premised on the future construction by a local developer of approximately 12,000 of retail office space on the north side of Broadway between Crockett and McKinley. Since that meeting the developer decided not to move forward with his project. At that time, the project, also consisting of approximately 32 parking spaces, had an estimated construction cost of $129,000 with the Town of Prosper expected to contribute $48,000 and the PEDC contributing $80,000. With the developer choosing to not move forward the Council and the PEDC each considered (March 23rd and March 24th respectively) moving forward with the project minus the additional parking spaces. Under this scenario, the contract price would have reduced to approximately $108,000 with the Town responsible for $92,000 and the PEDC being responsible for $16,000. After additional consideration, the project is now being recommended to be constructed from its current starting point near the 380 Warehouse west beyond Crocket St. to the existing concrete section and now includes 21 spaces. The project now is $74,020.07 with the PEDC still contributing $16,000 thus making the Town's contribution $58,020.07. Budoet Impact: The 2009-2010 Budget contains funds for road construction that will cover the cost of this project. This project though was not specifically identified as the target for said funds. By utilizing the majority of the budgeted funds for this project, many typical maintenance projects performed by Public Works will be delayed. Since this is a onetime project it meets the intent of using the Town's budgeted contingency funds therefore these funds will be used for the Town's contribution to the project instead of the Street funds budgeted in Public Works. Legal Obligations and Review: The Chapter 380 Agreement was prepared by Julie Forte, the PEDC Attorney in direct communication with the Town Attorney. Town Staff Recommendation: Town staff recommends that the Town Council approve the resolution authorizing the Town of Prosper enter into a Chapter 380 Agreement with the Prosper Economic Development Corporation for the reconstruction of a portion of Broadway St. Agenda Item No. 6c - Page 2 of 2 CHAPTER 380 AGREEMENT (Broadway Street) STATE OF TEXAS COUNTY OF COLLIN This Chapter 380 Agreement (this "Agreement") is mad e WHEREAS, Section 380.002(b) of the Texas Local Government Code authorizes Town to contract with PEDC to grant PEDC public money to use for the development and diversification of the economy, elimination of unemployment or underemployment and/or the development and expansion of commerce within Town; and WHEREAS, PEDC plans to improve Broadway Street from west of Crockett Street and continuing east to the existing concrete to promote economic development in the area; and WHEREAS, the Town Council of Town and the PEDC Board of Directors hereby each find that the improvements to be made by PEDC to Broadway Street will stimulate the development and expansion of commerce within Town, which will lead to further development and diversification of the economy and improve unemployment and underemployment within Town; and WHEREAS, Town has investigated and determined that it is in the best interest of the public and fulfills the requirements of Chapter 380 to grant funds to the PEDC for the Project (as defined herein). NOW, THEREFORE, for and in consideration of the mutual covenants and agreements contained herein, the Parties hereto agree as follows: 1. Description of Proiect/Management of the Proiect. (a) The Project consists of the design and construction improvements to Broadway Street west of Crockett Street and continuing east to the existing concrete plus twenty-one (21) on -street parking spaces on Broadway Street, as generally depicted in Exhibit "A", attached hereto and incorporated herein for all purposes (the "Project"). Construction of the Project will begin before June 1, 2010, in accordance with the plans and specifications prepared by a professional engineer selected by PEDC, and be continuously pursued until completion. The completed Project improvements shall belong to the Town. (b) PEDC shall be responsible for receiving proposals or bids for the Project, selecting a contractor and executing a contract with the selected contractor. PEDC shall provide Town with a copy of PEDC's construction contract promptly after it is executed. (c) Following the execution of a contract for the Project by PEDC with a contractor, CHAPTER 380 AGREEMENT (Broadway St. ¢rant) Page ! of 8 Error! No property name supplied. Town shall manage the Project and supervise the contractor during construction. Town shall provide weekly status reports on the progress of the Project to PEDC, which shall include any management or construction problems, so that, among other things, PEDC can enforce its contract with the contractor. 2. Grant to PEDC for the Proiect. The total design and construction costs associated with the Project are anticipated to be Seventy Four Thousand Twenty and 07/100 Dollars ($74,020.07), as reflected in Exhibit `B", attached hereto and incorporated herein for all purposes. The PEDC will pay Sixteen Thousand Dollars ($16,000) of the Project costs and the Town shall make a grant to PEDC for the remaining costs of the Project. Immediately upon receipt of a copy of the executed contract for the Project between PEDC and a contractor, Town shall make a grant of Fifty Eight Thousand Twenty and 07/100 Dollars ($58,020.07) to PEDC. Following acceptance of the Project by Town and final payment by PEDC to the contractor, PEDC shall promptly return any unused grant funds to the Town. If the Project costs are more than anticipated, the Town shall provide additional grant funds to PEDC prior to the time they are needed by PEDC to make payments owed under the construction contract. 3. Construction Costs Paid by PEDC. The PEDC shall be responsible for entering into a contract with a contractor for construction of the Project and for paying the contractor in accordance with such contract using the grant funds provided by Town and the Sixteen Thousand Dollars ($16,000) PEDC is paying towards the Project costs. 4. Default. In the event of a breach of this Agreement by either Party, the other Party may pursue any remedies available at law or in equity. 5. Term. This Agreement shall become effective on the latest date of execution by a Party, and shall terminate upon the last to occur of. (a) settlement of the final grant payments by Town to PEDC or return of any unused grant funds by PEDC to Town; and (b) acceptance of the Project by Town. 6. Immunity. Neither Party has waived its sovereign immunity by entering into and performing its obligations under this Agreement. 7. Non -Transferable. Neither Party hereto shall transfer or assign any of its rights hereunder to a third party. 8. Notices. All rights and remedies of the Parties under this Agreement shall be cumulative, and none shall exclude any other right or remedy provided by law, or by any other provisions of the Agreement. All such rights and remedies may be exercised and enforced concurrently and whenever, and as often, as occasion for their exercise arises. 10. Waiver of Breach. A waiver by either Party of a breach of the Agreement by the other Parry does not constitute a continuing waiver or a waiver of any subsequent breach of the Agreement. 11. Parties Bound. The Agreement shall be binding upon, and inure to the benefit of, the Parties to the Agreement and their respective heirs, executors, administrators, legal representatives, successors, and assigns when permitted by this Agreement. 12. No Third Party Beneficiaries. Nothing in this Agreement shall be construed to create any right in any third party not a signatory to this Agreement, and the Parties do not intend to create any third party beneficiaries by entering into this Agreement. 13. Incorporation of Recitals. The representations, covenants and recitations set forth in the foregoing recitals of this Agreement are true and correct and are hereby incorporated into the body of this Agreement and adopted as findings of the Parties. 14. Entire Agreement. This Agreement contains the entire agreement of the Parties with respect to the matters contained herein and may not be modified, amended or terminated except upon the provisions hereof or by the mutual written agreement of the Parties hereto. The subject matter of this Agreement is for the Project and grant only and not any other matters that may exist between the Parties past, present or future. 15. Venue. This Agreement shall be construed in accordance with the laws of the State of Texas and shall be performable in Collin County, Texas. 16. Consideration. This Agreement is executed by the Parties hereto without coercion or duress and for substantial consideration, the sufficiency of which is forever confessed. 17. Counterparts. This Agreement may be executed in a number of identical counterparts, each of which shall be deemed an original for all purposes. A facsimile signature will also be deemed to constitute an original if properly executed. 18. Authority to Execute. The individuals executing this Agreement on behalf of the respective Parties below represent to each other and to others that all appropriate and necessary action has been taken to authorize the individual who is executing this Agreement to do so for and on behalf of the Party for which his or her signature appears, that there are no other parties or CHAPTER 380 AGREEMENT (Broadway St. grant) Page 3 of 8 Error! Force Maieure. Neither Town nor PEDC shall be required to perform any term, condition, or covenant in the Agreement so long as performance is delayed or prevented by force majeure, which shall mean acts of God, strikes, lockouts, material or labor restrictions by any governmental authority, civil riots, floods, and any other cause not reasonably within the control of Town or PEDC and which by the exercise of due diligence Town or PEDC is unable, wholly or in part, to prevent or overcome. 20. Miscellaneous Drafting Provisions. This Agreement shall be deemed drafted equally by the Parties hereto. The language of all parts of this Agreement shall be construed as a whole according to its fair meaning, and any presumption or principle that the language herein is to be construed against any party shall not apply. Headings in this Agreement are for the convenience of the Parties and are not intended to be used in construing this document. The PFIA states that "Not less than quarterly, the investment officer shall prepare and submit to the governing body of the entity a written report of the investment transactions for all funds covered by this chapter for the preceding reporting period." This report is signed by the Town's Investment Officers and includes the disclosures required in the PFIA. Market values were obtained from TexPool, TexStar, and Independent Bank statements. The investment portfolio complied with the PFIA and the Town's approved Investment Policy and Strategy throughout the period. All investment transactions made in the portfolio during this period were made on behalf of the Town and were made in full compliance with the PFIA and the Town's approved Investment Policy. Town of Prosper Quarterly Investment Report Summary Information For the Quarter Ended March 31, 2010 This report is prepared for the Town of Prosper ("Town") in accordance with the Town's Investment Policy and reporting requirements. In accordance with the Investment Policy, the Town's Investment Officer shall prepare and submit to the governing body of the entity a written report of the investment transactions for all funds. For the quarter ending March 31, 2010, the Town has Twenty -Two (22) accounts with a total market value of $38,034,489.69 and total interest earned on these accounts for the quarter is $136,444.13. The distribution of these funds are as follows: General Fund - Par value and market value of $6,350,417.33. Water Sewer Fund - Par value and market value of $5,590,035.89. 1 & S Fund - Par value and market value of $1,856,887.99. Internal Service Fund - Par value and market value of $25,549.25. Storm Drainage Fund - Par value and market value of $22,398.99. Parks Fund - Par value and market value of $1,626,617.56. Impact Fees Fund - Par value and market value of $5,916,623.24. Special Revenue Fund - Par value and market value of $1,971,892.73. Capital Projects Fund - Par value and market value of $14,674,066.71. The Economic Development Corporation have accounts with total par and market value of $1,367,845.69 and interest earnings for the quarter is $8,636.38 The composition, by security types, for these funds is 41 % Government Pools and 59% Local Bank deposits. This consist of: 27% is in TexStar, 14% in TexPool and 59% in the local bank. TexStar and TexPool are Texas Local Government Investment Pools. The change in value from January 1, 2010 through March 31, 2010 for The Town of Prosper funds is $10,653,963.05 in additions and $11,157,768.23 of withdrawals. The breakdown per fund can be found on the CHANGE IN VALUE sheet of the portfolio. EDC had $91,701.95 in additions and $55,408.81 in withdrawals. Interest earned for the quarter is $8,636.38. EDC Certificate of Deposit will mature in 30 days, May 1, 2010. The investment portfolio complied with the PFIA and the Town's approved Investment Policy and Strategy throughout the period. Webb, Jr., P.E., Director of Development Services/Town Engineer Re: Town Council Meeting — April 27, 2010 Date: April 22, 2010 Anenda Item: Presentation of service plan and first public hearing to consider the involuntary annexation of a 240.51t acre tract of land located on the northeast corner of U.S. 380 and Teel Parkway, a 70.132t acre tract of land located on the north side of Fishtrap Road, 1,700t feet west of Legacy Drive, a 377.145t acre tract of land located west Legacy Drive and south of Parvin Road, a 5.149t acre tract of land located on the southeast corner of Fishtrap Road and Good Hope Road, a 0.538t acre tract of land located 500t feet south of Fishtrap Road, 1,300t feet west of Gee Road, a 1.346t acre tract of land located on the north side of U.S. 380, 1,500t feet west of Gee Road, a 0.785t acre tract of land located 800t feet north of U.S. 380, 2,300t feet west of Gee Road, a 51.539t acre tract of land located on the east side of FM 1385, 800t feet north of U.S. 380, and a 836.574t acre tract of land located on the east side of FM 1385, south of Parvin Road and west of Good Hope Road. Description of Agenda Item: On March 9, 2010, the Town Council called two public hearings to be held on April 27, 2010 and May 11, 2010, per the approved involuntary annexation schedule. This is the first of two public hearings to consider the involuntary annexations. The service plan, the annexation schedule, and a map of the proposed involuntary annexations are attached. Budget Impact: The estimated cost of the surveys needed for the 2010 involuntary annexations is $36,200. The cost is dependent on the number of property owners which choose to enter into an annexation agreement and the number of surveys which must be completed during the annexation process. To date, two annexation agreements have been signed by property owners. Spiars Engineering is in the process of preparing surveys of the properties located in the Extraterritorial Jurisdiction (ETJ) in Denton County. The cost associated with the involuntary annexations is budgeted for in the FY09-10 budget. Legal Oblictations and Review: The Town Attorney reviewed the annexation schedule to ensure compliance with state law. Annexation notices have been mailed to the property owners per state law and the approved annexation schedule. The public hearing notice for the first public hearing has been published in the newspaper and placed on the Town's website per state law and the approved annexation schedule. (Z08-17). History: On January 30, 2006, the Town received a zoning application for the Brookhollow (LandPlan) Planned Development, which included a request to rezone this property to Retail. On May 26, 2006, the Town Council directed the applicant to remove this property from the Brookhollow Planned Development application, due to the proposed Retail zoning not conforming to the Town's Future Land Use Plan. On March 28, 2006, the Town Council denied a request to rezone 17 acres on the northwest corner of Coit Road and First Street from Single Family-15 to Retail, due to the proposed Retail zoning not conforming to the Town's Future Land Use Plan. Description of Agenda Item: The zoning and land use of the surrounding properties are as follows: Zoning Current Land Use Future Land Use Plan North Retail Vacant Neighborhood Retail East Planned Development-25- Vacant Low Density Residential Single Family South Planned Development-25- Vacant Low Density Residential Single Family West Planned Development-6- Vacant Low Density Residential Single Family Requested Zoning — Z08-17 is a request to rezone 18.7t acres, located on the southeast corner of Coit Road and First Street, from Single Family-15 (SF-15) to Planned Development -Retail (PD-R). Agenda Item No. 9 - Page 1 of 4 The proposed Planned Development requires the property to generally develop in accordance with the Town's Retail (R) standards. Future Land Use Plan — The Future Land Use Plan (FLUP) recommends Low Density Residential uses for the property. The property is currently zoned Single Family-15, which conforms to the FLUP. The zoning request is to rezone the property to Planned Development -Retail (PD-R), which would allow for retail and office uses. The zoning request does not conform to the FLUP. The Comprehensive Plan provides criteria that should be considered when a zoning request deviates from the FLUP. These criteria, as well as staff's responses for each, are below: 1. The property is physically appropriate for non-residential uses. The property is located adjacent to Coit Road, a future six lane divided thoroughfare, and First Street, a future four lane divided thoroughfare. The property is approximately 16.5 net acres and is physically appropriate for non-residential uses. 2. The rezoning will not create a situation where non-residential traffic will negatively impact established and proposed residential development, schools, and/or parks. Due to the direct access to Coit Road and First Street, the rezoning will not create a situation where non-residential traffic will negatively impact established and proposed residential development, schools, and/or parks. 3. The rezoning will not leave any residual tracts of residentially zoned property or an area designated for residential use on the Future Land Use Plan. The rezoning does not leave any residual tracts of residentially zoned property or an area designated for residential use on the Future Land Use Plan. The entire property is proposed to be rezoned PD-Retail. 4. The rezoning should provide an appropriate transition between non-residential and residential uses. Properties zoned Retail are typically located at the intersection of two thoroughfares and adjacent to residential zoning in order to serve their residential service area. The Planned Development requires screening between non-residential and residential uses, which meets the minimum requirements in the Town's Zoning Ordinance. 5. The rezoning will not create a negative impact on the Town's existing or future infrastructure (water, sanitary sewer, drainage, or thoroughfares). The rezoning will not significantly impact the Town's existing or future infrastructure. The applicant has submitted a Traffic Impact Analysis, which has been reviewed by the Town Engineer. 6. The rezoning will not create a negative impact on the Town's existing or future public services (schools, fire and police, library, parks, or sanitation). Town staff does not anticipate that the rezoning will significantly impact the Town's existing or future public services. 7. The rezoning conforms to the goals and objectives of the Town's Comprehensive Plan. The FLUP recommends retail development be primarily located along the Town's major traffic corridors; U.S. 380, Dallas North Tollway, and Preston Road. The FLUP aims to minimize the amount of non-residential uses located away from these corridors, as the non-residential uses can overpower the residential fabric of the Town. The FLUP does provide for a small number of Neighborhood Retail areas, including at the intersection of Coit Road and First Street. Neighborhood Retail is defined as facilities containing establishments, which sell goods or services where the total square footage in any single development does not exceed 50,000 square feet. The northeast corner of Coit Road and First Street is approximately 12 acres and is zoned Retail. Typically, a 12 acre retail development can provide up to 100,000 — 120,000 Agenda Item No. 9 - Page 2 of 4 square feet of retail area. The proposed rezoning would allow for up to an additional 200,000 square feet of retail area at the intersection of Coit Road and First Street per Exhibit D, significantly more than the 50,000 square feet recommended by the FLUP. Therefore, the proposed rezoning does not conform to the goals and objectives of the Town's Comprehensive Plan. 8. The rezoning enhances the health, public safety, and welfare of the Town of Prosper. The proposed rezoning would allow for up to an additional 200,000 square feet of retail area at the intersection of Coit Road and First Street, which is significantly more than the 50,000 square feet recommended by the FLUP. Too much retail zoning in the Town may cause several possible problems, including undeveloped retail property, depressed retail property values, failure of retail businesses, and undesirable uses seeking to fill in the vacant retail property. The proposed rezoning would not enhance the health, public safety, and welfare of the Town. Conformance to the Future Thoroughfare Plan — The zoning exhibit complies with the Future Thoroughfare Plan. Water and Sanitary Sewer Services — Water and sanitary sewer service will have to be extended to the property either before or with the development. Access — Access to the property is provided from Coit Road and First Street. Adequate access is provided to the property. Schools — This property is located within the Prosper Independent School District (PISD). It is not anticipated that a school site will be needed on this property at this time. Parks — It is not anticipated that this property will be needed for the development of a park. Environmental Considerations — There is no 100-year floodplain located on the property. Summary: The zoning request does not conform to the Future Land Use Plan or the goals or objectives of the Town's Comprehensive Plan. Therefore, Town staff does not support the zoning request. Budget Impact: There are no significant budget implications associated with the approval of this zoning request. Legal Obligations and Review: Zoning is discretionary. Therefore, the Town Council is not obligated to approve the request. Notification was provided to neighboring property owners as required by State law. Town staff has received two public hearing notice reply forms from property owners within 200 feet of the zoning request, with one in opposition to the request.
