1. Call to Order / Roll Call.
2. Recess into closed Executive session under Texas Government Code 551.071 - Meeting with Attorney regarding a
matter(s) in which the duty of the Boards Attorney under the Texas Disciplinary Rules of Professional Conduct of
the State Bar of Texas conflicts with the Open Meetings Act regarding insurance.
3. Reconvene into Open Session and take any necessary action as a result of the Executive Session.
4. PEDC board Attorney to conduct training session on conflicts of interest, ethics, open meetings and public infor mation
including a question and answer session.
5. Approve the minutes from the December 9, 2009 Prosper EDC board meeting.
6. Review and approve the November and December financial statements for the Prosper Economic Development
Corporation.
7. Comments from Citizens. The EDC may receive input from the public; however the topic may not be discussed by
the EDC unless the topic is specifically listed on the meeting agenda.
8. PEDC information update:
A. Downtown project review.
B. 2010 networking and leadership opportunities for the EDC Board of Directors.
C. Joint PEDC / Prosper Town Council meeting Wednesday February 24, 2010.
D. PEDC staff / board goals and objectives for 2010.
9. Possibly direct Prosper Economic Development Corporation staff to schedule topics for discussion at future meeting.
10. Adjourn.

Government Code at any point during the open meeting to discuss any item posted on this agenda. The Open Meetings Act provid es specific exceptions that require a meeting be
open. Should the Economic Development Corporation choose to convene into Executive Session, those exceptions will be specifically identified and announced. Any subsequent
action, as a result of this Executive Session, will be tak en and recorded in open session.
