11-055 - RRESOLUTION NO. 11 -55 A RESOLUTION OF THE TOWN COUNCIL FOR THE TOWN OF PROSPER, TEXAS, AUTHORIZING THE TOWN MANAGER TO EXECUTE AN ENGAGEMENT CONTRACT FOR SERVICES FOR THE INDEPENDENT AUDIT OF FISCAL YEAR 2011 AND 2012 FINANCIAL STATEMENTS WITH THREE (3) OPTIONAL ONE -YEAR RENEWAL PERIODS; RESOLVING OTHER MATTERS RELATING TO THE SUBJECT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Town of Prosper recognizes the need to engage an audit firm to provide services in the annual independent audit of the Town's financial statements; and WHEREAS, the Town Charter requires changing audit firms every five years and the annual audit for Fiscal Year Ending September 30, 2010 was the fifth and final year for Pingleton, Howard & Company to provide these services since the passage of the Town Charter; and WHEREAS, the Town of Prosper staff issued a "Request for Qualifications" for firms qualified to conduct the annual audit of the Town's financial statements in June 2011; and WHEREAS, it is recommended that the firm of Davis Kinard & Co. P.C. be awarded the contract as they are qualified to do business in the State of Texas and have been selected by staff as the best firm to provide the Town services at this time. NOW, THEREFORE, BE IT RESOLVED BY THE TOWN COUNCIL FOR THE TOWN OF PROSPER, TEXAS: Section 1. That all matters stated in the preamble of this resolution are true and correct and are hereby incorporated into the body of this resolution as if copied in their entirety. Section 2. That the Town Council hereby authorizes the Town Manager to execute an engagement letter requesting the services of Davis Kinard & Co, P.C. for the independent audit of the financial statements for fiscal years ending September 30, 2011 and 2012 and to provide an opinion thereon. Section 3. That this resolution is effective on the date of passage by the Town Council. DULY PASSED AND APPROVED BY THE TOWN COUNCIL FOR THE TOWN OF PROSPER, TEXAS, on this 9th day of August, 2011.
